Terms of Service

In these Terms:

• "Company," "we," "us," or "our" means LumiParser (Helioscore LLC), a Florida limited liability company.
• "Service" means the LumiParser platform accessible at lumiparser.com and its associated API.
• "You" means the individual or entity accessing or using the Service.
• "Document" means any file (invoice, receipt, purchase order, bank statement, or other) you upload to the Service.
• "Parsed Data" means the structured data extracted from a Document by our AI models.

By creating an account or using the Service, you confirm that you are at least 18 years old and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@lumiparser.com if you suspect unauthorized access.

LumiParser offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis via Stripe. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel.

If a payment fails, your account will be downgraded to the free plan. Prices are shown in USD and may change with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

You may cancel your subscription at any time from the billing settings in your dashboard. Cancellation takes effect at the end of the current billing period and your access continues until then. We do not offer refunds for partial billing periods.

Due to the real-time AI processing costs incurred when documents are parsed, all payments are non-refundable. If you experience a technical issue that prevented a document from being processed, contact support and we will evaluate the situation on a case-by-case basis.

You agree not to:

• Upload documents you do not have the legal right to process.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to reverse-engineer, decompile, or extract our AI models or proprietary algorithms.
• Resell, sublicense, or commercialize access to the Service without our written consent.
• Use automated means (bots, scrapers) to access the Service outside of the documented API.
• Upload files containing malicious code, malware, or content designed to disrupt the Service.
• Misrepresent your identity or create accounts for fraudulent purposes.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

LumiParser uses artificial intelligence to extract data from documents. AI outputs are provided "as is" and may contain errors, omissions, or inaccuracies. We strongly recommend that you review all Parsed Data before using it in financial, legal, or operational workflows.

We do not guarantee that the Service will achieve any particular level of accuracy. Confidence scores displayed in the dashboard are estimates to assist your review — they are not warranties of correctness.

You retain all ownership rights to the Documents you upload and the Parsed Data extracted from them. By uploading Documents, you grant us a limited, non-exclusive license to process them solely for the purpose of providing the Service to you.

We store your Documents securely in Cloudflare R2 object storage. Documents are accessible only to you via authenticated, time-limited signed URLs. We do not use your Documents to train our AI models.

The Service, including its software, design, branding, documentation, and AI models, is the exclusive property of LumiParser (Helioscore LLC) and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

The Service integrates with third-party providers including:

• Stripe — payment processing
• Supabase — authentication and database
• Cloudflare — file storage
• Anthropic — AI document processing
• Resend — transactional email

Your use of the Service is also subject to the terms of these providers. We are not responsible for the practices or policies of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUMIPARSER (HELIOSCORE LLC), ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN ALL CASES, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. You may export your Parsed Data at any time from the dashboard before termination.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Florida.

Before initiating any legal proceeding, you agree to first contact us at support@lumiparser.com and attempt to resolve the dispute informally for at least 30 days.

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the dashboard at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
